TERMS OF TRADE

This page (along with the pages it refers to) tells you the Terms of Trade which govern any order given and any agreement made between a Customer or potential customer and Aspire Work Clothing Limited (‘Aspire’).

Other terms: – Terms of Use and our Privacy Policy apply when you access and use aspireworkclothing.co.uk (‘the Site’). The Terms of Use and the Privacy Policy are clearly set out and available for you to access via the link at the bottom of the site.

1. Specification of Goods
1.1 Any designs obtained or created by Aspire shall remain the property of Aspire.
1.2. Garment sizes are approximate and are for guidance only. Unless otherwise stated, sizes are ‘to fit’ in inches. They are not indicative of the actual size as some styles are designed to be worn fitted and others looser/baggy. Aspire shall not be held responsible for incorrect fitting once the Customer has specified the sizes required.
1.3 Whilst every effort by Aspire will be made to ensure that the Goods sold and delivered match in every respect any sample shown or description given, any minor or immaterial variation or change in colour or pattern between sample or description and the Goods delivered shall not entitle the Customer to reject the Goods nor withhold or reduce payment of the full purchase price nor claim any compensation for such variation or change.
1.4 Goods are not sold as being fit for any particular application or for use under specific conditions, unless expressly agreed in writing. You assume total responsibility and risk for your use of the Goods.
1.5 As a result of variations in computer monitors and browsers, colour samples may appear different on different monitors. Aspire does not guarantee our online colours will look the same on all computers and we do not guarantee they accurately reflect the colour of the Goods. If the exact colour of the Goods is important, please order a sample of the Goods in the required colour before placing an order.
1.6 Shades may vary according to manufacturing batch. Aspire cannot be held responsible for any shade differences between batches. Any swatch charts or samples provided by Aspire are therefore for guidance only.
1.7 Colours between brands and even colours of Goods from the same brand may vary according to the material of the garment and manufacturing batch. Aspire cannot be held responsible for any colour or shade differences and it is the responsibility of the Customer to ensure the Goods of different brands are matched or co-ordinated.

2. Order Agreement
2.1 The Customer agrees by acknowledging and confirming the order in writing, including by email, all details as listed by the order confirmation or quote are complete and correct. The Customer accepts full responsibility that the garments ordered are the correct colours, sizes and quantities required and any printed or embroidered logo details are correct, and the price, including any delivery and V.A.T charges, as detailed on the order confirmation or quote are correct.
2.2 Since the Goods are made to each Customer’s individual requirements, the order cannot be cancelled once work has commenced and the Customer shall be liable for payment of the full purchase price. As Aspire aims to provide a fast service, work usually commences immediately after receipt of the order.
2.3 In the event of the Customer wishing to change any aspect of the order, Aspire must receive the request in writing. Aspire will endeavour to make the changes requested but reserves the right to charge the customer any additional costs of such changes. Aspire will notify the Customer of such costs prior to any changes being made. Aspire reserves the right to amend estimated delivery times as a consequence of any changes made.
2.4 There is a minimum order of 12 items on the initial order. Thereafter, no minimum quantities apply on most Goods. Some Goods, including special order Goods, are subject to minimum quantities. Aspire will notify the Customer of any minimum quantities on Goods prior to ordering.
2.5 Aspire will not commence any work on any order until the order confirmation or quote, has been confirmed and go ahead given in writing.

3. Samples
3.1 Aspire has a limited supply of sample Goods. If agreed, Aspire can arrange for Samples to be delivered to the Customer. The Customer must return the sample Goods within 2 weeks of the date agreed in writing by Aspire. Samples must be returned in their original packaging. If worn or damaged in any way, including the packaging, the Customer will be charged in full for the sample Goods. Aspire is under no obligation to supply Customers with any samples.
3.2 If the Customer requires a particular garment, colour or size in respect of which Aspire does not have a sample, these can be ordered, but they will be charged for in full. Please see Returns (section 8) of the Terms of Trade for details on returning sample Goods.

4. Artwork
4.1 The Customer shall have full responsibility for obtaining the necessary consent with regards to Patent and Copyright for the use and reproduction of their logo or design by Aspire. Likewise, any payments or royalty fees due for the use of the Customer’s logo or design shall be the sole responsibility of the Customer and in no circumstances whatsoever shall Aspire be liable for any such payments or royalty fees and in particular any breach of Copyright or use of Patents. The Customer will indemnify Aspire from and against all costs, claims and liabilities which may be suffered or incurred as a result of any such breach.
4.2 For any new logo/design, the Customer will be provided with a visual proof for printed artwork and an embroidered swatch for embroidered artwork prior to embellishment onto any Goods. The Customer accepts full responsibility for providing Aspire with the correct artwork. Aspire will print/embroider the artwork onto the Goods as per the approved visual proof or embroidered swatch.
4.3 In the event of the Customer wishing to change the design or artwork of the logo once set up has begun or after the printed or embroidered logo has been approved by the Customer, Aspire must receive the request in writing. Aspire will endeavour to make the changes requested but reserves the right to charge the customer any additional costs of such changes. Aspire will notify the Customer of such costs prior to any changes being made. Aspire reserves the right to amend estimated delivery times as a consequence of any changes to be made.
4.4 A one off set up fee is chargeable for any new, or changes to existing artwork. Aspire will notify the Customer of any charges in advance. Set up fees vary depending upon the artwork.

5. Prices and Payment
5.1 Any price quoted by Aspire or appearing on any literature published by Aspire is subject to variation without notice. Unless otherwise expressly stated in writing, quoted prices are exclusive of postage, packaging, insurance and V.A.T. V.A.T will be charged at the applicable rate.
5.2 Any quotation is valid for 30 days from the date of quotation. The prices as stated on the quotation are specific to the quantity of Goods as stated on the quotation. Any variation to the quantity of Goods or the Goods themselves will require a revised quotation.
5.3 A quotation does not constitute a formal order until agreed in writing.
5.4 Unless the customer has an agreed credit account with Aspire, payment is due in full, in pounds sterling, on confirmation of the order of Goods. Work will not commence until payment has been made.
5.5 Customers wishing to set up a credit account with Aspire, need to make the request in writing. A credit account will only be agreed if the Customer meets Aspire’s credit account requirements. Aspire reserves the right to refuse any application for a credit account and does not have to give any reason for such refusal.
5.6 Customers with an approved Aspire credit account must make full payment, in pounds sterling, within 30 days of date of invoice.
5.7 Returned or represented cheques will be charged at £20.00 per representation.
5.8 Any payments received from the Customer for the Goods supplied may be appropriated by Aspire and applied towards discharging any amounts owed in respect of Goods previously supplied including delivery or other charges where payment is overdue and if so applied will not be deemed to have been received for the Goods for which those amounts were tendered.
5.9 All Goods supplied or delivered to the Customer remain the property of Aspire until payment has been received in full.

6. Unable to Supply
6.1 All Goods are offered subject to availability. In the event of Aspire being unable to supply or deliver the Goods ordered, it undertakes to refund any money paid in respect of such Goods but shall not otherwise be under any liability whatsoever.
6.2 In the event of a stock shortage (out of stock), Aspire will endeavour to notify the Customer of the shortage as soon as possible. If no contact can be made with the Customer, the order will be delivered with all available stock. Any out of stock items will be placed on back order and delivered as soon as possible. Aspire shall not be under any liability whatsoever for being unable to fulfil the complete order due to stock shortages.
6.3 Aspire will notify Customers of discontinued items as soon as possible. Aspire cannot be held responsible for discontinued items of stock.

7. Delivery
7.1 Any estimated delivery dates specified by Aspire are approximate only and not a term of the agreement. Whilst every effort will be made to deliver on time, Aspire cannot accept any responsibility for late or non-delivery due to circumstances beyond their control.
7.2 Any shortages, damaged or non-delivered Goods must be notified to Aspire within 48 hours of receipt. Deliveries should be checked carefully. Any damaged Goods must be checked in front of the delivery person and signed for accordingly, and likewise the number of packages being signed for should be carefully checked. Aspire cannot accept responsibility for damaged or non-delivered packages if they have been signed for as being received complete and in good condition.
7.3 Delivery is currently free on orders over £250.00 (ex V.A.T), otherwise an £8.95 (ex V.A.T) delivery charge is applied per order for deliveries to the mainland UK and £16.95 (ex V.A.T) for delivery to UK Islands and Highlands. Delivery charges are under continuous review and Aspire reserves the right to change delivery charges without notice. V.A.T will be charged at the applicable rate.
7.4 Aspire shall not in any circumstances be liable for loss or damage to any Goods once delivery has been made.

8. Returns
8.1 All sales are final. Aspire does not trade on a ‘Sale or Return’ basis.
8.2 Goods cannot be returned once embroidered or printed.
8.3 Returns of any kind will only be accepted by prior arrangement; Aspire must receive the request in writing. With the exception of faulty Goods or mis-ships (incorrect Goods shipped to the Customer), Aspire reserves the right to accept or refuse the return of Goods. In no circumstances whatsoever will goods be accepted for return later than 14 days after delivery.
8.4 Faulty Goods must be returned with the fault clearly identified and without defacing the garment.
8.5 Plain Goods and Samples can be returned and will be charged a 15% handling and administration fee plus delivery charges. Refunds or credit notes will be issued upon Aspire receiving the returned or sample Goods. Plain Goods and Samples cannot be returned if the Customer has used the Goods and/or damaged them in any way. The Goods must be returned in their original packaging and suitable for resale.
8.6 Special Order Goods cannot be returned. Aspire will notify you of any special order Goods prior to order confirmation.

9. Loss or Damage
Subject to Aspire taking all reasonable care, no liability shall be incurred by Aspire in respect of loss or damage caused to any garments which the Customer has supplied to Aspire for embellishing the Customer’s design thereon.

10. Garment Care/Washing
Aspire cannot be held responsible for damage caused to Goods that have been washed contrary to the washing instructions stated on the label of the garment or treated with or exposed to: bleaching agents, peroxide, chemical admixtures, optical brighteners, or chlorine, where discolouration or aging may result. It is the Customer’s responsibility to read and adhere to all accompanying material giving recommended care instructions.

11. Liability Limitations
Aspire’s liability to the customer in respect of the order of Goods is strictly limited to the cost of the Goods. Aspire shall not be liable in any circumstances whatsoever or howsoever caused for any business loss, loss of profit, revenue or income, data loss, loss of production, loss of reputation or goodwill or any direct or indirect loss, costs or expenses.

12. Indemnity
You agree to fully indemnify Aspire against any claims, damages, losses, costs or expenses that may arise, directly or indirectly, due to any breach by you, of these Terms of Trade, or arising out of any claim that you have breached these Terms of Trade.

13. Statutory Rights
These terms and conditions do not affect your statutory rights.

14. Terms of Trade Amendments
Aspire may update these Terms of Trade from time to time. The revised Terms of Trade shall apply to any order given and any agreement made between a Customer and Aspire from the date of publication of the revised Terms of Trade. Amendments will be published on the Site. We recommend you check this page regularly to make sure you are happy with any changes. By ordering after any changes have been made to these terms, you will be deemed to have accepted the amended terms.

15. Governing Law
These Terms of Trade will be governed by, and shall be interpreted in accordance with English Law.
